Terms and Conditions of Use of the “Chambifly” Infrastructure

1. PURPOSE OF THE INFRASTRUCTURE

Chambifly provides a Software as a Service (SaaS) infrastructure designed for the operational automation of service providers. The Platform does not render end services to the Partners’ clients; rather, it provides the technological tools (Digital Brain) for the management, collection, and administration of such services.

2. ACCOUNT REGISTRATION AND SECURITY

By creating an account, the user warrants that:

• The information provided is truthful and current.
• They are of legal age and have the legal capacity to enter into contracts.
• They are responsible for maintaining the confidentiality of their credentials.

Chambifly shall not be held liable for unauthorized access resulting from the user’s negligence.

3. FINANCIAL TERMS AND PAYMENTS

Subscription

Access has a recurring monthly cost of $599.00 MXN. Depending on the chosen configuration, this amount may be plus the Impuesto al Valor Agregado (IVA) (Value Added Tax).

Extensions

The Partner may activate additional modules (Extensions) with variable costs, which will be added to the recurring monthly charge.

Payment Processing

All payments are processed through the Stripe gateway. By using Chambifly, the user simultaneously accepts Stripe’s terms of service.

4. COMMISSION AND DISBURSEMENT REGIME (ELITE ALLIES)

For users registered as Elite Allies, the following conditions apply:

Commercial Commission

The relationship is strictly commercial in nature, not an employment relationship.

Commission Amount

A 15% commission will be granted on the base price of the referred subscription and 10% on active extensions.

Automatic Split

The Ally agrees that the payment of their commission will be made through Stripe’s “Split” functionality. The amount received will be net of the gateway’s transaction fees.

Tax Independence

Chambifly will issue the full CFDI to the end client. The Elite Ally acknowledges being solely responsible for their own tax situation and for issuing the tax receipts corresponding to their income if required by their tax regime.

5. INTELLECTUAL PROPERTY

All source code, AI diagnostic algorithms, designs, logos, and “Transformation Architecture” methodologies are the exclusive property of Chambifly. Reverse engineering, copying, or unauthorized distribution of the infrastructure is strictly prohibited.

6. PRIVACY AND PERSONAL DATA

Chambifly acts as Data Processor of the personal data of the Service Partner’s end clients. The Service Partner is the Data Controller of such data and undertakes to maintain its own Privacy Notice in accordance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares (LFPDPPP) (Federal Law on the Protection of Personal Data Held by Private Parties).

Chambifly guarantees the use of SSL security protocols and data encryption.

7. LIMITATION OF LIABILITY

Chambifly does not guarantee specific economic results. The infrastructure is a tool; the success of the business depends on the Service Partner’s execution.

Chambifly shall not be liable for minor service interruptions resulting from technical updates or failures of internet providers.

8. TERMINATION AND CANCELLATION

Either party may terminate the relationship at any time.

Upon cancellation of the subscription, access to the infrastructure will remain in effect until the end of the paid period.

No refunds are issued for partial periods.

9. JURISDICTION AND GOVERNING LAW

For the interpretation and enforcement of these Terms, the parties submit to the federal laws of the United Mexican States and to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction to which they may be entitled.
